Different Business Structures Available for Locum Doctors

Hi there! My name is Ben Walker, and I'm the founder of an accounting firm called Inspire - Life Changing Accountants

James Hill from Prescript Recruitment has asked me to share a little bit of knowledge around the different types of structures that, as a doctor, you might use to contract to a hospital or a surgery or a practice, and a little bit on the pros and cons of each one. 

As a doctor, there is a choice (or any business in Australia really) of which business structures you can use and there are all sorts of things to consider when you're making a decision.

There are things around tax implications for each structure, risk and insurance perspective (which is actually quite a big one), and even asset protection as you build your family's wealth.

We don't want the risk of running your business (or contracting) to expose your family home as an example - so there are lots to consider.

The three most popular and main business structure options are:

  1. Sole Trader -  you've got an ABN in your own name and that's trading as yourself. 

  2. Trading as a company -  which is the next most common one. A company is a separate legal entity that you do set up and you run it through a company. You can call it (within reason) whatever you'd like to, but that's yours and you contract to other people through that.

  3. The third option is a Trust - there are pros and cons for that, but the main benefit usually for that is to stream income with other family members that the business owner earns. But I will come back on that because as a doctor, that's a little bit tricky to do, and I'll share why. 

Sole Trader vs Company

So let's look at sole trader versus a company. 

The big one here is actually all around risk, the insurance side of things and asset protection. So as a sole trader, you're literally contracting to your customer (or your practice or your hospital) in your own name. So if something goes wrong and you have a dispute, they're going to be suing you personally, and any assets that you own are up for grabs in the event of an outcome that doesn't go in your favour. 

But let's say you've got a company as an example. 

A company is seen as a separate legal entity, so the contract is actually between the company and your customer. If a dispute arises there, in the first instance, they will actually be suing your company and you've got some form of protection there. It doesn't always 100% protect you, but it's definitely not suing you personally in the first instance, which is good. 

Also as a hospital or a practice owner, what they're often looking for in terms of their locums or their doctors that work for them on a contract basis (so not an employee, but on a contract basis) is they want to reduce their risk as much as possible. There are a few risks they might consider, but the key ones in terms of business structures are; what business structure is that doctor using? 

I know it might sound strange, but if you're in a company structure, it could be seen to reduce the risk for the business because that reduces the view that they might need to be paying super on top of your wage. Or if you've set up a company, you might actually be contracting to multiple hospitals or surgeries or practices (depending on what you're doing) and the risk is that you're less likely to be seen as an employee of your customer, which as an employee, you carry a lot more risk to them versus a contractor. 

So what they're trying to reduce in most cases is their risk of being up for super, all the rights as an employee, and that sort of thing. So it's to genuinely see the contract relationship as their company and your company - not as two people contracting or being employed. So that's the big one there. 

Personal Services Income

In terms of the tax side of things - there's not a huge difference from a tax perspective being a sole trader versus a company. The reason that that's the case is because as a doctor, you're getting paid for your personal exertion. The way that the tax law is written, is if you're personally exerting to earn your income (regardless of your business structure) pretty much all of that income needs to end up in your name. This is a bit of an unfortunate thing for doctors where you might be on a very large income level, and unfortunately (depending on your circumstances) in some cases when you're contracting or locuming, we can't go and then split that income with your spouse or your kids.

I mentioned earlier, a trust is a great way of splitting income, but these are the rules with doctors: With personal exertion, we can't go and then say, "Oh, well, the trust earned $200,000, I'm going to split $100,000 with my spouse and $100,000 with me." We can't do that because of that personal exertion rule, so we get a bit stuck there. 

But tax is not a huge factor when you're considering your structure (If you are caught under those personal exertion rules) it does come down to the risk. 

What’s most attractive to your customer?

The other benefit, as well, of incorporating or becoming a company for your contracting, is that you will be more attractive to people looking to bring you on board. No doubt that that will be the case, because they'll see you as a lower risk if you've got all that set up and you're familiar with running your own company - it's a very simple process of almost just providing an invoice, really. So that's a big benefit. When you're looking at getting your next role, if you're as attractive as possible to that potential contractor, then that'll go in your favour versus if you are a sole trader. 

At the end of the day, it is your option, but again, a strong recommendation for a Pty Ltd company. The other thing to keep in mind is to make sure you have a really good insurance advisor to have a look at your public liability insurance, your professional indemnity, and make sure it incorporates your company. 

However you're set-up, whether it's a sole trader, company, or trust - make sure you've got an advisor who really understands their stuff around that, because that is paramount to have sorted, as well. 

So there's a view on the different structures you could have as a doctor, and that's more in that contractor relationship - not an employee.  I hope this has helped!

People who have been in Australia for 14 days prior to departure are able to travel to New Zealand without applying for an outwards travel exemption (from 11:59pm Sunday April 18).

There is one medical recruitment consultant position available - you will be managing a specific medical speciality, helping doctors with both locum and permanent opportunities at public hospitals and private health services, across Australia.

What will this position involve?

You will be committed to becoming an expert in your specialised area. This means partnering with the doctors at every career stage for locum, fixed-term and ongoing opportunities. You will foster these relationships over multiple years and get to know the doctors in-depth.

Our clients (public hospitals and private health services) will rely on you to help solve the regional doctor shortage in their communities. There will be bespoke retained projects to deliver on and Prescript's locum management service for a more immediate solution in uncertain or busy times.

What We’re Looking For

Prescript Recruitment Partner (medical recruitment consultant)

  • Senior Prescript Recruitment Partner - you will have five years or more successful recruitment/sales experience OR

  • Prescript Recruitment Partner - suitable if you have one or two years of successful recruitment/sales experience.

Start date - available to start in April or May 2021.

Previous successful recruitment experience or sales experience. Fantastic advantage if you already have a background in medical recruitment.

→ Location - Prescript’s HQ (based in Darlinghurst, Sydney) or our Melbourne office in the CBD. Our team of eleven are spread across three states, and like most of Australia, we’ve been busy working from home and keeping in touch via zoom!

→ You will be passionate about providing an exceptional level of service. Your ideas on how we can improve will be enthusiastically encouraged!

→ Tech-savvy - e.g. Outlook, Word, Excel. Excited about a CRM system that is there to support you achieve your goals (we know no-one is excited about a CRM system, but at least be committed to helping to keep it updated).

→ Writing ability - you will be creating locum and permanent job advertisements, plus contributing to the blog and social media posts. This means you will be comfortable writing in plain English, written with your doctors in mind and with the right tone of voice, that is clear and concise.

→ Most importantly, we want you to care and be onboard with what we are trying to achieve - making sure regional areas have the doctors they deserve.

250,000 Days Of Water Reached! - Prescript’s Giving Update

We have reached an incredible milestone towards our giving goal of one million days!

Two hundred and fifty thousand days of access to safe drinking water for rural communities in Ethiopia.

◾️ This is another enormous step towards our giving goal, and it feels incredible to be able to give back to those communities that need it the most.

◾️ For 2021 and beyond, our giving goal is to provide 1 million days of access to clean water to families living in poverty in rural Ethiopia.

We link our day to day business activities to our giving goal of providing families access to clean water in rural Ethiopia.

Hand-Dug Wells – What Is It All About?

◾️ The projects we are supporting fund the construction of hand-dug wells in the Ethiopian province of Tigray.

◾️ During the recent unrest in northern Ethiopia, the project areas have continued to run.

◾️ The water program began during the 1980s civil war and evolved to a point where its low technology techniques were the best for implementation in times of conflict.

◾️ The provision of clean and hygienic water will reduce a woman’s average daily water collection time. Without a well, women can spend 3 hours, every day, collecting about 20 litres (for her whole family) of polluted water from sources often shared with defecating livestock.

◾️ The projects also include training & education in health and sanitation matters as well as family planning.

◾️ The whole family benefit from having access to clean water - meals can be prepared earlier, improved sanitary practices also mean less illness and fewer missed school days.

Watch the video above to see an example of how people access water in Ethiopia. It made me realise exactly what a difference we can make to communities such as these.

Prescript is Six Years Old!

It’s good to have the opportunity to pause and reflect sometimes. Birthdays and anniversaries are often traditional times to take stock and look back. March marks six years since Prescript opened its doors as medical recruitment specialists.

And - Wow - what a year! It has been a challenging time for everyone.

Here are SIX things jump out from the last year.

Thank You, Everyone

The biggest thank-you goes to our community of Prescript doctors:

★ staffing fever clinics

★ swapping from their usual roles to go where the need is greatest

★ volunteering to quarantine to fulfil locum commitments

★ crossing national and inter-state borders

★ showing good humour and understanding with all the travel changes that have taken place

★ making sure regional communities have the healthcare they need

The health-services we work with have been incredible - each time a border closed, we saw medical administration and management swing into action to put a plan in place to cover shortages. Flights booked, cancelled and rebooked; accommodation reservations unpicked; credentialing paperwork fast-tracked.

A huge well done too for the Prescript Recruitment team - I know that the doctors, hospitals, and practices we partner with have benefited from having Prescript operate at full capacity – the team have been there to manage cancelled locum shifts, change travel logistics, juggle border closures and answer questions. Our recruitment and credentialing teams have worked diligently to support our Prescript doctors and health services – they have focused on the ‘now’ with practical help, and they have focused on the ‘later’ with optimism that better times lie ahead.

Navigating Prescript through the last 12 months has been tough, and I want on a personal note to thank Stef, Nicola, Lee, Marcia, Grace, Kathleen, Max, Hugo, Rebecca and Nadine. We have stuck together and made it through.

New Arrivals

Congratulations to Nadine Onto, on the arrival of baby Charlotte! It was wonderful to virtually say hello via zoom.

We are excited to welcome a new recruitment partner - Max Drakeley! Max is based in Melbourne.

Google and Prescript

Office Has Reopened

We are now back in the office for part of the week. Embracing a hybrid model of working from home and spending time together in the office.

Zoom has helped us stay connected, across our different locations, however, being together again in person has been great!

I’ve flown to our Sydney HQ and our Melbourne office, from Adelaide and loved seeing the team. It feels like things are returning to some normalcy.


Adelaide Team Trip

To stay connected as a team, we get together three times a year to celebrate and acknowledge hard work. We also reflect on how we can provide a better level of service to the doctors, hospitals and practices we partner with.

Next week, the whole Prescript team will be in Adelaide! It will be a chance to have fun, reflect on the past year and plan for our future.

Since 2015 we have visited every State and Territory - been on the tilting train from Bundaberg to Rockhampton; taken a shuttle bus to Noosa; driven to Bunbury and Busselton; bumped around in a 4x4 in the Northern Territory - we can’t wait to have more adventures across regional Australia!


250,000 Days Of Water!

For 2021 and beyond, our giving goal is to provide 1 million days of access to clean water for families in Ethiopia.

In fantastic news, this week we have reached 250,000 days of water! We are now a quarter of the way to our goal.

How? Each time we help a doctor with the next step in their career, we also contribute to the clean water and new wells in the Tigray region.
